These Terms cover every product ParqueMedia makes, now and in the future. ParqueMedia owns its products, may change or remove any of them at any time, and provides them as general information without warranties.
These Terms of Use ("Terms") are a legal agreement between you and ParqueMedia LLC, a New Jersey limited liability company ("ParqueMedia," "we," "us," or "our"). They govern your access to and use of every ParqueMedia Product. By accessing or using any Product, you agree to these Terms and to the policies incorporated into them: the Privacy Policy, Disclaimer, AI Disclosure, Acceptable Use Policy, Cookie Policy, Notice for Users Outside the United States, and Copyright and Trademark Policy. If you do not agree, do not use the Products.
"Products" means all of the following:
The products named above are examples and do not limit this definition. A product described as "planned" may change or may never be released, and listing it here is not a promise to release it.
Some Products have their own terms, policies, or notices, posted on that Product ("Product Terms"). Product Terms apply in addition to these Terms. If Product Terms conflict with these Terms, the Product Terms control for that Product. Where a Product has no terms of its own, these Terms apply in full.
Software that ParqueMedia builds for a particular company or individual is also governed by the Client Services Terms.
Unless a Product's own terms say otherwise, you may use the Products only if you are at least 18 years old, able to form a binding contract, located in the United States, and not barred from doing so by law. The parquemedia.com website is an informational site that may be viewed from anywhere; the interactive Products are offered to people in the United States. See the Notice for Users Outside the United States.
The Products are provided for general informational and educational purposes. ParqueMedia is not a law firm, financial adviser, accounting firm, employment agency, medical provider, or educational institution, and nothing in any Product is legal, financial, tax, medical, career, or other professional advice. No professional relationship is created by your use of any Product. You are solely responsible for the decisions you make and the actions you take. See the Disclaimer.
Some Products generate text or other output using artificial intelligence. That output is produced automatically, may be inaccurate, incomplete, outdated, or inconsistent, and is not reviewed by a person before you see it. You are responsible for checking it before relying on it. See the AI Disclosure.
"Submissions" means any text, files, data, or other material you provide to a Product. You are solely responsible for your Submissions and you represent that you have the right to provide them. Do not submit Social Security numbers, financial account numbers, passwords, health records, information about children, privileged or confidential material you are not permitted to disclose, or anything unlawful. You keep the rights you have in your Submissions and grant ParqueMedia and its service providers a limited, non-exclusive, royalty-free license to host, process, transmit, and reproduce them as needed to operate the Product, protect it against abuse, and comply with law.
You agree to follow the Acceptable Use Policy.
Most Products are currently free and require no account. If a Product later offers accounts, subscriptions, or paid features, the price, billing, renewal, cancellation, and refund terms will be presented to you before you are charged and will form part of these Terms for that Product. You are responsible for activity under any account you create and for keeping its credentials secure.
ParqueMedia and its licensors own all right, title, and interest in and to the Products, including all software, source code, object code, designs, interfaces, text, graphics, prompts, models, data structures, documentation, the "ParqueMedia" name and wordmark, the ParqueMedia logo, Product names, and all related intellectual property rights. Nothing in these Terms transfers any ownership to you. All rights not expressly granted are reserved.
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Products for your own personal, non-commercial purposes. You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from any Product, except to the extent that restriction is prohibited by law.
If you send us feedback, ideas, or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or compensation.
ParqueMedia may, at any time and in its sole discretion, with or without notice and without liability to you: add, change, limit, or remove any feature; set or change usage limits; suspend or terminate your access; and modify, take offline, discontinue, or permanently delete any Product in whole or in part, together with any data associated with it. We have no obligation to maintain, support, update, or continue to offer any Product, or to preserve or return any content. You should keep your own copies of anything you need.
The Products rely on third-party providers, such as hosting, artificial intelligence, payment, and content delivery services, and may link to third-party websites. Those services are governed by their own terms and policies. We do not control them and are not responsible for them.
THE PRODUCTS AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS, AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PARQUEMEDIA DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. PARQUEMEDIA DOES NOT WARRANT THAT ANY PRODUCT OR OUTPUT IS ACCURATE, COMPLETE, CURRENT, RELIABLE, SECURE, UNINTERRUPTED, OR ERROR-FREE, OR THAT ANY PRODUCT WILL MEET YOUR REQUIREMENTS OR REMAIN AVAILABLE.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PARQUEMEDIA AND ITS MEMBERS, MANAGERS, OWNERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS (THE "PARQUEMEDIA PARTIES") WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, SAVINGS, DATA, GOODWILL, OR OPPORTUNITY, ARISING OUT OF OR RELATING TO ANY PRODUCT, ANY OUTPUT, OR THESE TERMS, UNDER ANY LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE TOTAL LIABILITY OF THE PARQUEMEDIA PARTIES FOR ALL CLAIMS RELATING TO THE PRODUCTS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID PARQUEMEDIA FOR THE PRODUCT AT ISSUE IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE AND (B) FIFTY U.S. DOLLARS (US $50).
These limitations reflect a reasonable allocation of risk and apply even if a limited remedy fails of its essential purpose.
To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless the ParqueMedia Parties from any claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to your Submissions, your use or misuse of any Product or its output, your violation of these Terms or of any law, or your violation of any right of another person.
Sections 13, 14, 15, and 19 are intended to be only as broad as New Jersey law permits. If you are a New Jersey consumer, nothing in these Terms waives or limits any right or remedy that cannot be waived or limited under New Jersey law. In particular, nothing in these Terms limits liability for a ParqueMedia Party's own intentional, willful, reckless, or grossly negligent conduct or fraud; limits recovery of punitive damages where the New Jersey Punitive Damages Act allows them; limits rights or remedies under the New Jersey Consumer Fraud Act, the New Jersey Products Liability Act, or the New Jersey Uniform Commercial Code; requires you to indemnify a ParqueMedia Party for its own negligence or wrongful conduct; or shortens any limitations period that New Jersey law does not permit to be shortened by agreement.
Some states do not allow certain warranty exclusions or limitations of liability. If the law of your state gives you rights that cannot be excluded or limited by contract, those rights remain in effect and Sections 13 and 14 apply only to the extent that law permits.
These Terms and any dispute relating to them or to any Product are governed by the laws of the State of New Jersey and applicable federal law, without regard to conflict-of-law rules. Subject to any non-waivable right under the law of your state of residence, disputes will be brought exclusively in the state or federal courts located in New Jersey, and each party consents to the jurisdiction of those courts. Either party may bring a qualifying claim in small claims court.
Before filing any claim, you agree to email JDonline94@outlook.com describing the dispute and the outcome you seek, and to allow 30 days for us to try to resolve it.
To the fullest extent permitted by applicable law, claims may be brought only in an individual capacity and not as part of any class, collective, or representative proceeding, and any claim must be filed within one year after it arose. This Section does not apply where applicable law does not permit these terms.
We may update these Terms. Updated Terms take effect when posted here with a new "Last updated" date and apply to your use from that point forward. Continued use of any Product means you accept them.
These Terms, the incorporated policies, and any applicable Product Terms are the entire agreement between you and ParqueMedia concerning the Products. If any provision is found unenforceable, it will be enforced to the maximum extent permitted and the rest will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, reorganization, or sale of assets. Sections that by their nature should survive termination will survive. You may not use the Products if you are located in a place subject to comprehensive United States sanctions or are on a United States government restricted-party list.
